These Terms & Conditions ("Terms") govern your access to and use of the Centric relationship intelligence platform and services (the "Services") provided by Centric AI, Incorporated ("Centric," "we," "us," or "our") through the website https://getcentric.ai (the "Site").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
"Services" means the relationship intelligence platform, AI-powered features, and all related products and services provided by Centric through the Site.
"Site" means the website at https://getcentric.ai and all related domains, mobile applications, and online services.
"Customer" means the business entity or organization that has registered for the Services and agrees to pay for them. If you are registering as an individual for personal use (not on behalf of a company), "Customer" means you as an individual.
"User" means an individual person authorized by Customer to access and use the Services. Users include employees, contractors, or agents of the Customer.
"You" or "Your" means Customer (the organization or individual who registered and pays for the Services). When these Terms refer to individual Users, we will explicitly use the term "User."
"Account" means Customer's registered account with Centric, which may include multiple Users.
"Content" means all information, data, text, software, images, and other materials available through the Services.
"Personally Identifiable Information" or "PII" means information that can be used to identify a specific individual, as defined in our Privacy Policy.
These Terms constitute a legally binding contract between you and Centric. By creating an Account or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (incorporated by reference).

Customer will be held liable for any violation of these Terms by any User, whether or not Customer authorized such violation.
We may modify these Terms at any time. Material changes will be posted on the Site with a notice for at least 7 days before the changes take effect. Non-material changes become effective immediately upon posting.
Your continued use of the Services after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Services and may cancel your Account.

Customer agrees that neither Customer nor any of its Users will use the Services to:

The Services use artificial intelligence (AI) provided by third-party services (including Anthropic Claude and Deepgram) to generate relationship intelligence, personality insights, strategic briefings, and communication drafts.
You acknowledge that:
We do not guarantee the accuracy, completeness, or reliability of AI-generated content. Use it at your own risk.
You retain ownership of all data, notes, contact information, and other content that you submit to the Services ("User Content").
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, copy, store, process, and display your User Content solely to provide the Services and improve our AI models (in de-identified, aggregated form only).
You represent and warrant that:
All rights, title, and interest in the Services, including all software, algorithms, trademarks, logos, and content (excluding User Content), are owned by Centric or its licensors.
You may not:
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback without compensation or attribution.
Do not send us confidential or proprietary information unless we have explicitly requested it.

If you subscribe to a paid plan, you agree to pay the fees specified at the time of subscription. Fees are billed in advance on a recurring basis (monthly or annually) unless otherwise stated.
You authorize us to charge your payment method for all applicable fees. If payment fails, we may suspend or terminate your Account.
Fees do not include applicable taxes (sales tax, VAT, GST, etc.). You are responsible for all taxes associated with your use of the Services.
We may change our pricing at any time. For existing subscriptions, we will provide at least 30 days' notice before any price increase takes effect. If you do not agree to the new pricing, you may cancel your subscription.
We do not offer refunds for prepaid subscription fees. All sales are final.
Exception: If we terminate your Account for our convenience (not due to your breach of these Terms), we will provide a pro-rated refund for any unused portion of your subscription period.
We may offer free trials for new users. Free trials are limited to one per user and Organization. We reserve the right to modify or discontinue free trials at any time.
If you do not cancel before the trial ends, you will be automatically charged for a paid subscription.
You may cancel your subscription at any time through your Account settings or by contacting [email protected]. Cancellation takes effect at the end of your current billing period. You will retain access to the Services until the end of the paid period.
We may suspend or terminate your Account at any time for:
Upon termination, your access to the Services will be revoked, and your data may be deleted after a reasonable grace period.
Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at https://getcentric.ai/privacy. By using the Services, you consent to the practices described in the Privacy Policy.
The Services may integrate with third-party services (e.g., Read.ai, Google Calendar) under separate terms and conditions. We are not responsible for:

Legitimate Business Interest: You represent and warrant that you have a legitimate business relationship with all contacts you add to the Services, and that your use of their information complies with applicable laws.
User Responsibility: You are solely responsible for ensuring compliance with all applicable privacy laws, including obtaining any necessary consents or providing required notices to contacts. We are not responsible for your compliance or lack thereof.
Age and Location Requirements: You represent and warrant that all contacts are:
Prohibited Use: You may not use the Services to manage personal information of individuals under 18, individuals located outside the United States, or individuals with whom you do not have a legitimate business relationship.
Incidental Family References: Incidental mentions of family members in notes (e.g., "John's daughter graduated") are permitted as contextual information only, provided no systematic collection or use of minors' information occurs.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We disclaim all warranties, including but not limited to:
WE DO NOT GUARANTEE ANY SPECIFIC OUTCOMES FROM USING THE SERVICES. AI-generated insights, relationship scores, and strategic recommendations are probabilistic and not guaranteed to achieve any particular result.
TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Our total liability to you for all claims arising from these Terms or the Services is limited to the greater of:
This limitation applies regardless of the legal theory (contract, tort, negligence, or otherwise) and whether or not we were advised of the possibility of such damages.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

Customer agrees to defend, indemnify, and hold harmless Centric, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to:
Customer's indemnification obligation applies regardless of whether Customer authorized the User's actions. Customer is responsible for the actions of all Users under its Account.
We will notify Customer of any such claim and may assume control of the defense. Customer agrees to cooperate fully with our defense efforts and reimburse us for all costs, expenses, and reasonable attorneys' fees incurred.
These Terms are governed by the laws of the State of Delaware, without regard to its conflicts of law principles.
Any disputes arising from these Terms or the Services shall be resolved in the state or federal courts located in Delaware. You consent to the personal jurisdiction of these courts and waive any objection to venue.
You agree that all disputes must be resolved on an individual basis. You waive the right to participate in class actions, class arbitrations, or representative actions. No claim may be brought on behalf of a class or in a representative capacity.
You must bring any claim within one (1) year of the event giving rise to the claim. Claims brought after one year are forever barred.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Centric regarding the Services and supersede all prior agreements or understandings.
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid, and the remaining provisions will remain in full force and effect.
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
We may assign these Terms or our rights and obligations to any third party (e.g., in connection with a merger or acquisition). You may not assign these Terms without our prior written consent. Any unauthorized assignment is void.
These Terms do not create a partnership, joint venture, employment, or agency relationship between you and Centric. You have no authority to bind Centric or make commitments on our behalf.
You consent to receive communications from us electronically, including emails, notifications, and agreements. Electronic communications satisfy any legal requirement that communications be in writing.
You agree to the use of electronic signatures, contracts, and records. You waive any rights under laws requiring physical (non-electronic) signatures or records.
We are not liable for delays or failures in performance caused by events beyond our reasonable control, including natural disasters, acts of war, terrorism, pandemics, government actions, internet outages, or third-party service failures.
